Terms and Conditions

Effective Date: June 30, 2024

1. Services Agreement

Brandhorse provides brand development, e-commerce optimization, and digital marketing services ("Services"). By engaging our Services, you agree to these terms and conditions.

1.1 Service Scope

  1. Monthly brand development and optimization services
  2. Digital strategy implementation
  3. Content creation and management
  4. E-commerce optimization
  5. Performance reporting and analytics

2. Payment Terms

2.1 Services are billed on a month-to-month basis.

2.2 First month's payment serves as deposit and acceptance of terms.

2.3 Invoices are sent 3 days before subscription renewal.

2.4 A 3-day grace period applies to all payments.

2.5 15% late fee applies to payments made after the grace period.

3. Term and Termination

3.1 This agreement operates on a month-to-month basis.

3.2 Either party may terminate with 30 days written notice.

3.3 Client remains responsible for payment of services rendered prior to termination.

4. Deliverables and Meetings

4.1 Monthly comprehensive performance reports

4.2 Bi-weekly review meetings

4.3 Implementation of agreed-upon strategies and optimizations

5. Intellectual Property

5.1 All materials, strategies, and content created by Brandhorse remain our intellectual property until full payment is received.

5.2 Upon payment, client receives a non-exclusive license to use deliverables for their business purposes.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement.

7. Performance

While we strive for optimal results, Brandhorse cannot guarantee specific performance metrics as many factors affecting business success are beyond our control.

8. Client Responsibilities

  1. Provide timely feedback and approvals
  2. Supply necessary access and materials
  3. Maintain active communication
  4. Make timely payments

9. Limitation of Liability

Brandhorse's liability shall be limited to the amount paid for services in the month where the issue arose.

10. Governing Law

These terms are governed by California law. Any disputes shall be resolved in California courts.

11. Changes to Terms

We reserve the right to modify these terms with 30 days notice. Continued use of services constitutes acceptance.
